SUMNER HILL ASSOCIATION BY-LAWS (ORIGINAL)

1926

ARTICLE I NAME

The name of this association shall be the Sumner Hill Association.

ARTICLE II OBJECT

The object of the association shall be to preserve so far as may be the present residential character of the district, said district being that part of Jamaica Plain bounded by Seaverns Avenue, to Elm, to Everett, to Bishop, to Newbern, to John A. Andrew, to Sedgwick, to Centre Strs. to Seaverns Ave.

ARTICLE III MEMBERSHIP

Section 1.      Any person or organization owning property or residing in the Sumner Hill district shall be eligible to membership in person or by formally appointed representative.

Applications for membership shall be in writing signed by the applicant addressed to the Board of Directors and shall contain a clause that the applicant will conform to the By-Laws of the Association in all respects, and shall be endorsed by two members of the Association. And the Board of Directors in addition to the powers hereinafter set forth may elect said applicant to membership or may reject such application.

ARTICLE I NAME

The name of this association shall be the Sumner Hill Association.

ARTICLE II Object

The object of the association shall be to preserve so far as may be the present residential character of the district, said district being that part of Jamaica Plain bounded by Centre St. from Sedgwick St. to Seaverns Ave., Seaverns Ave. from Centre to Elm and the block of Gordon St. to Call St., Call St. to Carolina, Carolina to Sedgwick, and Sedgwick to Centre.

ARTICLE III Membership

Section 1.      Any person or organization owning property or residing in the Sumner Hill district shall be eligible for membership in person or by formally appointed representative.

Section 2.      When a member, by death or otherwise, ceases to be a member of the Association, all his right, title or interest in the property of the Association shall vest in the Association.

ARTICLE IV Officers

Section 1.      The officers of the Association shall be a President, two Vice—Presidents, a Treasurer, a Secretary and three Directors.

Section 2.      The Board of Directors shall consist of the officers and the three Directors.

ARTICLE V Elections

Section 1.      All officers of this Association shall be elected by ballot at the annual meeting of the Association by a majority vote of those present and shall hold office for one year or until their successors are elected.

Section 2.      Any vacancy on the Board of Directors shall be filled for the unexpired term at the next regular or special meeting of the Association upon notice duly

given. Should such a meeting fail to elect, the vacancy shall be filled by the remaining members of the Board of Directors.

Section 3.      No member who has served two years as President shall be eligible for re—election the following year.

ARTICLE IV  Officers

Section 1.      The officers of the Association shall be a President, a First Vice—President, a Second Vice—President, a Treasurer, a Secretary and six Directors.

Section 2.      The Board of Directors shall consist of the officers and the six Directors.

ARTICLE V Elections

Section 1.      All officers of this Association shall be elected by ballot at the May meeting of the Association by a majority vote of those present and shall hold office for one year or until their successors are elected.

Section 2.      Any vacancy on the Board of Directors shall be filed for the unexpired term at the next regular or special meeting of the Association upon notice duly given. Should such a meeting fail to elect, the vacancy shall be filled by the remaining members of the Board of Directors.

Section 3.      A member who has served two consecutive years as President shall be ineligible for re—election the following year.

ARTICLE VI  Duties of Officers

Section 1.      The President shall preside at all meetings of the Association and of the Board of Directors and perform such other duties as properly belong to this office.

Section 2.      The Vice—Presidents shall discharge the duties of the President in the vent of his absence, disability or refusal to act.

Section 3.      The Treasurer shall collect and issue receipts for all moneys due the Association and shall disburse them under the direction of the Board of Directors. He shall keep an accurate account of the finances of the Association and make a report of the same at each annual meeting and once each month to the Board of Directors, if they so request, and shall furnish a sufficient bond when so requested by the Board of Directors.

Section 4.      The Secretary shall keep a record of the proceedings of each meeting of the Association and of the Board of Directors and shall issue all notices of their meetings. He shall notify new members of their election and all officers and committees by mail within one week after their election or appointment. He shall conduct the correspondence of the Association and keep a list of its members. In his absence a Secretary pro tempore shall be chosen.

Section 5.      The Board of Directors shall have general charge and management of the affairs and property of the Association not specifically delegated to other officers. They shall direct the

ARTICLE VI  Duties of Officers

Section 1.      The President shall preside at all meetings of the Association and of the Board of Directors and perform such other duties as properly belong to this office.

Section 2.      In the event of the absence, disability or refusal to act of the President, then the First Vice—President, or of the President and the First Vice—President, then the Second Vice—President, shall discharge the duties of the President.

Section 3.      The Treasurer shall collect and issue receipts for all moneys due the Association and shall disburse them under the direction of the Board of Directors, Disbursements other than normal operating costs must be approved by the general membership. The Treasurer shall keep an accurate account of the finances of the Association and make a report of the same at each annual meeting and once each month to the Board of Directors, if they so request.

Section 4.      The Secretary shall keep a record of the proceedings of each meeting of the Association and of the Board of Directors and shall issue all notices of their meetings. The Secretary shall conduct the correspondence of the Association and shall keep a list of its members. In the Secretary’s absence a Secretary pro ternpore shall be chosen.

Section 5.      The Board of Directors shall meet with the executive officers and serve in an advisory capacity. Treasurer to make disbursements on account of the Association, but no indebtedness shall be incurred on behalf of the Association by the Board of Directors, or by an officer of the Association, exceeding the amount of money in the treasury over and above any special appropriation and any existing obligation, at the time of incurring such indebtedness. They shall not convey or alienate any portion of the property of the Association without its consent. They shall render a report of the proceedings and condition of the Association at each annual meeting and at such recommendations as they shall deem advisable.

Section 6.      The Board of Directors shall have the management and control of the property of the Association and shall make rules and regulations for its use, subject to the approval of the Association.

ARTICLE VII  Meetings of Association

Section 1.      The annual meeting shall be held on the 1st Monday in April in each year at 8:00 p.m.

Section 2.      A notice of each regular meeting shall be sent by the Secretary to each member at least three days before the date of said meeting and notices mailed to the last known post office address of members shall be deemed sufficient notice.

Section 3.      Special meetings may be called at any time by the Board of Directors by giving reasonable notice thereof and shall be called by the Secretary whenever requested in writing by ten members, such requests shall fully set forth the necessity and object

ARTICLE VII Meetings of Association

Section 1.      The annual meeting shall be held in May, the specific date to be designated by the Board of Directors.

Section 2.      A notice of each regular meeting shall be sent by the Secretary to each member at least three days before the date of said meeting.

Section 3.      Special meetings may be called at any time by the Board of Directors by giving reasonable notice thereof.

Section 4.      Twenty—five members shall constitute a quorum for the transaction of business. of the special meeting and be included in the notice thereof. No business shall be acted upon at any special meeting other than that specified in the notice of such meeting.

Section 4.      Twenty percent of the members shall constitute a quorum for the transaction of business.

Section 5.      The proceedings of the Association shall be governed and conducted according to the last Cushing’s Manual on Parliamentary Law.

Section 6.      The order of business at all meetings shall be as follows:

First: Reading the record of last meeting.

Second: Special assignments.

Third: Reports of officers and committees.

Fourth Election of officers.

Fifth: Miscellaneous business.

ARTICLE VIII

MEETING OF DIRECTORS

Section 1.      The Board of Directors shall hold a regular meeting once each month, except in July and August. Special meetings may be held at any time or place, without notice, if all the members of the Board are present, or may be called by any two members of the Board, upon reasonable notice by the Secretary to all members of the Board.

Section 2.      Five shall constitute a quorum for the transaction of its business.

Section 5.      The proceedings of the Association shall be governed and conducted according to Robert’s Rules of Order.

Section 6.      The order of business at all meetings shall be as follows:

First: Reading the record of last meeting.

Second: Special reports.

Third: Reports of officers and committees.

Fourth: Miscellaneous business.

ARTICLE VIII MEETING OF DIRECTORS

Section 1.      The Board of Directors shall hold a regular meeting once each month, except in July and August. Special meetings may be held at any time or place, without notice, if all the members of the Board are present, or may be called by any two members of the Board, upon reasonable notice by the Secretary to all members of the Board.

Section 2.      Six shall constitute a quorum for the transaction of its business.

ARTICLE IX ANNUAL DUES

Section 1.      The annual dues of each member shall be five (5) dollars, payable in advance at the annual meeting of each year.

Section 2.      Every application for membership shall be accompanied by five dollars, and if the candidate be not elected, said fee shall be returned to him.

Section 3.      Any member whose dues shall remain unpaid on the first day of June shall be notified by the Treasurer, and if said dues are not paid within 30 days after said notice, his name may be dropped from the membership list by the Board of Directors.

ARTICLE X OBLIGATIONS

Each member of the Association, signing or accepting these By—Laws, agrees with the Association and with each member thereof, that he will not sell his property located on the streets or in the district hereinbefore set forth in these By—Laws until after he has offered the same for sale in writing to the Board of Directors of said

Association, which Board shall have an option of fifteen (15) days, after receipt of such offer, of buying the same at the price affixed by said member. If the said Board shall not exercise its option within said fifteen (15) days, the same will be held to be waived. The Board shall have the right in any case in its discretion to waive the provisions of this Article.

This section shall not apply to a proposed conveyance of his property by a member to a member of his own immediate family.

ARTICLE IX ANNUAL DUES

Section 1.      The annual dues of each single member shall be five (5) dollars and family membership shall be ten (10) dollars payable in advance prior to the commencement of the annual meeting each year.*

Section 2.      Such dues shall be considered voluntary contributions to the Association, and non—payment shall in no way exclude a resident of th Sumner Hill area from membership in the Association or full participation in its meetings or activities.

ARTICLE X OBLIGATIONS

Article X is hereby deleted from these By—Laws.

* 1987 revision: increased to 5 and $10.

ARTICLE XI AMENDMENTS

These Articles may be amended, as follows:

Ten members may propose any amendment to these By—Laws by reducing the amendment to writing and delivering the same to the Secretary. The Secretary shall then cause the amendment together with the names of its proposers to be printed upon the notice of the next meeting. The proposed amendment shall be voted upon at that meeting and if it then receives the affirmative vote of two thirds of the members present and voting, it shall be adopted. These By—Laws shall not be suspended except by a unanimous vote of the members present and voting.

ARTICLE XI AMENDMENTS

The Articles may be amended, as follows:
